All NexXerver services - including Shared, Dedicated, Public Cloud, and BTP - are billed quarterly or annually in advance. Billing begins on service activation or provisioning. Payment gateway charges apply for online transactions. All purchases are final and non-refundable.

NexXerver offers technical and SAP infrastructure support throughout the active subscription period. Support is free for infrastructure-related issues under our responsibility. Functional, configuration, or extended user support is available as a paid service under separate agreements.

NexXerver adheres to strict data privacy and protection standards across all SAP Infrastructure and Cloud services. Customer data is securely stored, encrypted, and never shared without consent. Our environments comply with GDPR and enterprise-grade security policies.

Introduction

These Terms and Conditions (“Terms”) govern all services provided by Altzen Technologies Pvt. Ltd. / NexXerver, including SAP Infrastructure Hosting, Shared and Dedicated Servers, SAP Public Cloud / BTP, Consulting, IoT & Embedded services, and related offerings. By using or subscribing to our services, you agree to these Terms in full.

Scope of Servers

  1. Shared Servers – SAP S/4HANA, ECC, and BTP sandbox/test systems with pre-configured configuration, master, and transactional data covering scenarios across 17+ countries.
  2. Dedicated Servers – Enterprise-grade private cloud servers with full admin rights, namespace/AAK enablement, custom developments, and product builds.
  3. Consulting & Advisory – SAP implementations, migrations, niche modules (EWM, TM, BRIM, PaPM, DRC, IBP), business AI enablement, and digital transformation projects.
  4. IoT & Embedded Services – Edge-to-SAP integration, LoRaWAN, device connectivity, asset management, and embedded software development.
  5. SAP Public Cloud & BTP Services – Access to SAP S/4HANA Public Edition, Business Suite, FSM, Subscription Billing, and other BTP offerings.

Service Usage & Restrictions

  1. All servers are strictly non-production unless explicitly contracted otherwise.
  2. Clients must comply with SAP licensing and intellectual property rules.
  3. Unauthorized resale, redistribution, or use for competitive hosting is prohibited.
  4. Shared server access is module-specific; additional modules require a new subscription or an add-on fee (typically 50% of the base cost).

Pre-Configured Data & Software

  1. Dedicated and shared servers come with SAP Best Practices, configuration data, master data, and transactional data.
  2. Access includes SAP GUI, Fiori Launchpad, OData/RFC endpoints, depending on the system.
  3. Namespace subscriptions include namespace registration, transport setup, and AAK/AIK enablement

Payment & Billing Terms

  1. All services (Shared Servers, Dedicated Servers, Public Cloud, BTP) are billed quarterly or yearly in advance.
  2. Dedicated/Private Cloud – billing cycle begins on the actual activation date. First invoice may include a pro-rata charge for partial month plus the next full month.
  3. BTP & Public Cloud Services – billing cycle always starts from the first day of the calendar month, even if the service is provisioned mid-month.
  4. Minimum lock-in: 3 months (84 days).
  5. Annual subscriptions: 12 months access for the cost of 11 months (one month free) when paid upfront.
  6. Renewals: Clients must notify Altzen/NexXerver at least 30 days prior to expiry to ensure uninterrupted service.
  7. Payment methods: Bank/Wire Transfer, UPI (India), Stripe, PayPal. Gateway charges (3–4%) apply for card/online payments.
  8. Taxes: INR payments attract 18% GST. International payments exclude local taxes; clients are responsible for any withholding or deduction.
  9. Physical invoices: Courier charges apply if requested.
  10. Refunds: No refunds are provided once services are activated. Service credits may be issued only if downtime exceeds SLA guarantees.

Support & SLA

  1. Shared servers: standard support for login and access issues.
  2. Dedicated servers: weekly backups, restoration support (2 free restores per month), and proactive monitoring..
  3. SLA uptime commitments (e.g., 99.5%) are detailed in the official SLA document.

Acceptable Use Policy

  1. Services must not be used for illegal, malicious, or unauthorized activities.
  2. Reverse engineering, penetration testing, or resale without approval is prohibited.
  3. NexXerver reserves the right to monitor usage and suspend services if violations occur.

Intellectual Property

  1. Clients retain ownership of custom developments, code, and data.
  2. Altzen/NexXerver retains rights to hosting infrastructure, pre-configured environments, namespaces, and product templates.
  3. Namespace/AAK-based developments must comply with SAP’s namespace rules.

Limitation of Liability

  1. Services are provided on a best-effort basis.
  2. Altzen/NexXerver is not liable for indirect, incidental, or consequential damages such as business interruption, data loss, or third-party failures (e.g., AWS, Azure, or SAP-side outages).
  3. Maximum liability is capped at the fees paid by the client in the preceding 12 months.

Termination & Suspension

  1. NexXerver may suspend or terminate services for non-payment, breach of terms, or policy violations.
  2. Clients may terminate subscriptions with 30 days written notice before renewal.
  3. No refunds are issued for mid-term cancellations.

Privacy & Data Protection

  1. NexXerver complies with GDPR, CCPA, and relevant privacy laws.
  2. Client data is used only for service delivery, support, and legal compliance.

Governing Law  &  Dispute Resolution

  • This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles.
  • In the event of any dispute, controversy, or claim arising out of or relating to this Agreement or the services provided by NexXerver, the Parties shall first attempt to resolve the matter amicably through mutual discussion within 30 (thirty) days of written notice.
  • If no resolution is achieved within this period, the dispute shall be referred to final and binding arbitration, conducted in English, in accordance with the provisions of the Arbitration and Conciliation Act, 1996, including all amendments of 2015, 2019, and 2021.
  • The seat and venue of arbitration shall be Hyderabad, Telangana, India.
  • The proceedings may be conducted virtually or in person, as mutually agreed.
  • Each Party shall bear its own legal costs unless otherwise directed by the arbitral tribunal.
  • The arbitral award shall be final and binding on both Parties.
  • All obligations relating to billing, confidentiality, intellectual property, and data handling shall remain enforceable during the dispute resolution process.
